Terms of Service

Welcome to SquadUp. These Terms of Service ("Terms") are the agreement between you and Pixel Perfect Apps LLC ("Pixel Perfect Apps," "we," "us," or "our") that governs your use of the SquadUp mobile apps, the website at squadup.chat, and any related services we operate (collectively, the "Service").

We've kept these Terms as readable as we can without giving up the protections they need to provide. Defined terms mean what they look like they mean.

1. Accepting these Terms

By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, don't use the Service. Continued use of the Service after we update these Terms means you accept the updated version.

2. Who can use SquadUp

You must be at least 13 years old to use SquadUp. If you are under 18, you must have your parent or legal guardian's permission to use the Service.

To create an account, you must be able to receive SMS at a phone number you control. You agree to provide accurate information when signing up and to keep that information accurate while your account is active.

3. Your account

  • One account per phone number. SquadUp identifies you by phone number. You may not maintain multiple accounts with the same phone number, and you may not share an account with someone else.
  • You are responsible for your account. Anything that happens under your account — messages sent, squads joined, rosters built — is your responsibility. Keep your phone secure and don't share your sign-in codes.
  • No bots, no impersonation. You may not use automated tools to access or interact with the Service, and you may not impersonate another person, organization, or team.
  • No transferring. You may not sell, lease, gift, or otherwise transfer your account to anyone else.

4. Your content

SquadUp is built around the content you and your squad create — the messages you send, the squads you organize, the games you schedule.

  • You own your content. We don't claim ownership of the messages, squad names, photos (when supported), or other material you put into the Service.
  • You grant us a license to operate the Service. To run SquadUp, we need permission to host, store, transmit, display, and distribute your content to the people you've shared it with (your squad members, the recipients of an invite, etc.). You grant us a worldwide, non-exclusive, royalty-free license to do exactly that, for as long as your content is on the Service or for as long as is reasonably needed to operate the Service.
  • You're responsible for your content. You represent that you have the right to share whatever you put on the Service and that doing so doesn't violate anyone else's rights or any law.

5. Acceptable use

SquadUp is for organizing and chatting with your sports squads. You may not use the Service to:

  • Harass, threaten, bully, dox, or intimidate anyone.
  • Post hate speech or content that targets people based on race, ethnicity, national origin, religion, gender identity, sexual orientation, disability, or other protected characteristic.
  • Send spam, run scams, or solicit unrelated commercial activity.
  • Share illegal content, content depicting child sexual abuse, non-consensual intimate imagery, or content that incites violence.
  • Distribute malware, exploit security vulnerabilities, or attempt to break, probe, or overwhelm the Service.
  • Scrape, copy, or otherwise extract content from the Service except as part of your own normal use.
  • Violate any applicable law in your use of the Service.

This list isn't exhaustive — when in doubt, ask yourself whether your behavior is consistent with running a sports squad. If it isn't, don't.

6. Reports, moderation, and enforcement

You can report users or content from inside the app. We review reports and act on them at our discretion. We may, without notice:

  • Remove content that violates these Terms.
  • Warn, suspend, or terminate accounts that violate these Terms.
  • Cooperate with law enforcement when we receive a lawful request.

We aren't a court — moderation decisions are judgment calls and we don't guarantee perfect consistency. If you think we got a decision wrong, email contact@pixelperfectapps.com and we'll take another look.

7. The Service is provided as is

  • Features may change. Features will evolve, bugs may appear, and we may occasionally take the Service down to fix problems or perform maintenance.
  • No warranty. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
  • No availability promise. We don't guarantee that the Service will be uninterrupted, error-free, or always reachable.

If you rely on SquadUp for something critical (medical coordination, time-sensitive legal scheduling, etc.), don't — at least not yet.

8. Limitation of liability

To the maximum extent permitted by applicable law, neither Pixel Perfect Apps nor any of its officers, employees, agents, or affiliates will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Our total liability to you for all claims arising out of or relating to the Service is limited to the greater of (a) the amount you have paid us in the twelve months preceding the claim (which, if you have not paid us during that period, is zero) or (b) one hundred U.S. dollars ($100).

Some jurisdictions don't allow these limitations, in which case the limitations apply only to the extent permitted.

9. Termination

You can stop using SquadUp at any time and you can delete your account from inside the app or by emailing us. Account deletion is described in the Privacy Policy.

We can suspend or terminate your access to the Service at any time, with or without notice, if we believe you've violated these Terms or if continuing your access would put us, the Service, or other users at risk. We will give you reasonable notice when we can.

Sections that by their nature should survive termination — including sections 4 (license), 8 (limitation of liability), 10 (disputes), and 12 (governing law) — survive.

10. Disputes

We hope we never get here, but in case we do:

You and Pixel Perfect Apps agree to try to resolve any dispute informally first. Email contact@pixelperfectapps.com with a description of the dispute and the relief you're seeking, and we will respond within 30 days. If we can't resolve it that way:

  • Small claims court. Either party can bring an individual claim in small claims court in the county where you live, provided the claim qualifies for small claims jurisdiction.
  • Arbitration. Any other dispute will be resolved through final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in San Francisco, California, before a single arbitrator. The arbitrator has authority to resolve any dispute about the validity or scope of this section.
  • No class actions. Disputes will be resolved on an individual basis. You waive any right to participate in a class, collective, or representative action against us.
  • Opt out. You can opt out of the arbitration and class-action-waiver provisions of this section by emailing contact@pixelperfectapps.com within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out." Opting out doesn't affect any other part of these Terms.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we'll post the new version at this URL and update the "Last updated" date below. For changes that materially affect your rights or obligations, we'll give you reasonable notice in the app or by another reasonable means before the change takes effect. Continued use of the Service after a change takes effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to section 10, the state and federal courts located in San Francisco County, California will have exclusive jurisdiction over any dispute that is not subject to arbitration.

13. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Pixel Perfect Apps regarding the Service.
  • No waiver. If we don't enforce a provision of these Terms in a particular case, that doesn't mean we waive the right to enforce it later.
  • Severability. If a court finds any provision of these Terms unenforceable, the rest of the Terms remain in effect.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of our business.
  • Apple App Store and Google Play. If you obtained the SquadUp mobile app through Apple's App Store or Google Play, you also agree to the applicable platform's terms. The platform is not a party to these Terms and has no obligation to provide support for the Service.
